1. Introduction and Acceptance
Welcome to Coauthor and LinkedIn Rewind (collectively, the "Services"), operated by True and Useful LLC, a California limited liability company ("Company," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
We may modify these Terms from time to time by posting an updated version. Changes are effective when posted unless otherwise stated. Where required by applicable law, we will provide additional notice of material changes (for example, by email or through the Services). Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
Users subject to U.S. sanctions or located in embargoed countries may not use the Services.
3. Description of Services
3.1 LinkedIn Rewind
LinkedIn Rewind generates personalized year-in-review content based on publicly available professional information associated with a LinkedIn profile URL you provide. The service produces a highlights card and optional written summary.
3.2 Coauthor
Coauthor is a subscription service that helps professionals create written content in their authentic voice. Features include personalized content generation, voice learning, and content refinement tools.
3.3 Service Changes
We reserve the right to modify, suspend, or discontinue the Services (or any features or portions thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
4. Account and Access
4.1 LinkedIn Rewind
LinkedIn Rewind does not require account creation. Your use is associated with the email address you provide. You are responsible for ensuring you have access to this email address to receive your generated content.
4.2 Coauthor Subscriptions
Coauthor subscriptions require payment information. You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
5. User Representations and Prohibited Uses
5.1 LinkedIn Profile Submissions
By submitting a LinkedIn URL to our Services, you represent and warrant that:
- You are the owner of the LinkedIn profile associated with that URL; or
- You have obtained explicit consent from the profile owner to submit their information to our Services.
Consent from a profile owner may be verbal or written, but you must be able to confirm that consent was given if we ask. Do not submit profiles of people who have not agreed to have their information processed by our Services.
Submitting another person's LinkedIn profile without their consent is strictly prohibited. You are solely responsible for ensuring you have all necessary rights and permissions before submitting any LinkedIn profile URL to our Services.
5.2 Prohibited Uses
You agree not to:
- Use the Services to generate defamatory, false, misleading, or harmful content
- Impersonate any person or entity
- Generate spam or unsolicited bulk communications
- Use the Services for any purpose other than internal business or professional purposes as intended
- Access the Services through automated means, bots, scrapers, or similar technology, except as expressly permitted by us in writing or through a published API
- Circumvent, disable, or interfere with payment or access controls
- Attempt to gain unauthorized access to our systems or other users' data
- Use the Services in violation of any applicable law or regulation
- Engage in any activity that disrupts or interferes with the Services
5.3 Fair Use
We reserve the right to limit or terminate access for users who engage in excessive or abusive use of the Services, as determined in our sole discretion.
6. Fees, Payment, and Subscriptions
6.1 Pricing
Current pricing for all Services is displayed at the time of purchase or subscription. We reserve the right to modify pricing at any time; changes will not affect existing paid periods.
6.2 Subscription Terms
Coauthor subscriptions are billed on a monthly recurring basis. By subscribing, you authorize us to charge your designated payment method on a recurring basis until you cancel.
6.3 Trial Periods
We may offer trial periods of varying lengths. The specific trial terms, including duration and whether payment information is required upfront, will be clearly disclosed at the time of sign-up. If you do not cancel before the trial period ends, you authorize us to charge your payment method for the applicable subscription fee.
6.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
6.5 Failed Payments
If a payment fails, we may suspend access to paid features until payment is successfully processed. We reserve the right to terminate accounts with repeated payment failures.
7. Refunds
7.1 LinkedIn Rewind
LinkedIn Rewind purchases are generally non-refundable. However, if you do not receive your Rewind within a reasonable time after payment, you may contact us at [email protected], and we may issue a refund in our discretion.
7.2 Coauthor Subscriptions
If you request a refund for a Coauthor subscription that was initiated through LinkedIn Rewind (for example, if you signed up for Coauthor after receiving a Rewind), we may retain a portion of your payment—up to the standalone LinkedIn Rewind price at the time your Rewind was generated—to cover the cost of the Rewind content we already created for you.
7.3 Refund Requests
All refund requests should be directed to [email protected]. Refunds, when granted, will be processed to the original payment method.
8. Intellectual Property and Content
8.1 Our Intellectual Property
The Services, including all software, designs, text, graphics, and other materials, are owned by or licensed to us and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without our express written permission.
8.2 Your Content
You retain ownership of any content you provide to us and any content generated for you through the Services ("Your Content").
8.3 License Grant
By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to process, host, store, reproduce, transmit, and share with our service providers (including AI model providers) Your Content as reasonably necessary to provide, maintain, secure, and improve the Services.
You also grant us a license to use Your Content (including prompts, inputs, outputs, and feedback) to improve the Services and develop new features. Where practical, we may do this using aggregated or de-identified information.
Marketing: We may use de-identified or aggregated examples (including example outputs) to describe or market the Services.
This license continues for as long as we retain Your Content consistent with our Privacy Policy. We may retain and use aggregated or de-identified information that does not reasonably identify you.
8.4 Feedback
Any feedback, suggestions, or ideas you provide about the Services may be used by us without restriction or compensation to you.
8.5 Content Concerns
If you believe content generated by our Services infringes your rights, or if you have concerns about how your information has been used, please contact us at [email protected]. We will review all good-faith reports and respond appropriately.
9. Third-Party Services and Disclaimers
9.1 AI Providers
Our Services may use third-party AI model providers to process prompts and content and generate outputs. Where available, we generally use service offerings and configurations intended to limit an AI provider's use of customer inputs for model training. However, provider practices may vary, may change over time, and may depend on the specific service plan, configuration, and data sent.
Third-party providers may also have their own terms and policies. We are not responsible for third-party services that we do not control.
9.2 LinkedIn Disclaimer
LinkedIn® is a registered trademark of LinkedIn Corporation. True and Useful LLC is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation. Our Services rely on publicly available information, and availability may be affected by third-party platform changes outside our control.
9.3 Payment Processing
Payment processing is handled by third-party payment processors. Your payment information is subject to their terms and privacy policies.
10. Disclaimers and Limitations of Liability
10.1 AI-Generated Content
Content generated by our Services is produced by artificial intelligence and may contain errors, inaccuracies, hallucinations, fabricated information, or content that does not reflect your actual views, experiences, or facts. AI systems can and do make mistakes, including generating false statements, incorrect data, misleading claims, and content that appears plausible but is factually wrong.
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, VERIFYING, AND APPROVING ANY CONTENT BEFORE POSTING, SHARING, OR OTHERWISE USING IT. We do not post content on your behalf without your explicit instruction or authorization. Any decision to use, publish, or rely on AI-generated content is made entirely at your own risk.
You acknowledge that outputs may not be unique and may be similar or identical to content generated for other users.
Our fact-checking features, where available, are provided as a convenience only and do not guarantee accuracy. You should independently verify any claims, statistics, dates, quotes, or other statements in generated content before use.

We are not liable for any consequences resulting from your reliance on outputs as professional advice.
10.3 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR FREE OF HARMFUL CONTENT.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUE AND USEFUL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- YOUR USE OR INABILITY TO USE THE SERVICES
- ANY CONTENT GENERATED BY THE SERVICES, INCLUDING ANY ERRORS, INACCURACIES, OR OMISSIONS THEREIN
- YOUR PUBLICATION, DISTRIBUTION, OR USE OF AI-GENERATED CONTENT
- ANY CLAIMS BY THIRD PARTIES ARISING FROM CONTENT YOU PUBLISH OR SHARE
- ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- ANY THIRD-PARTY CONDUCT ON THE SERVICES
- ANY OTHER MATTER RELATING TO THE SERVICES
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless True and Useful LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your submission of a LinkedIn profile without authorization from the profile owner
- Any content you post, publish, or share that was generated by our Services
- Any claims that AI-generated content you used or published was inaccurate, defamatory, or otherwise harmful
12. Termination
12.1 Termination by You
You may stop using the Services at any time. To cancel a subscription, follow the cancellation process in your account settings or contact us at [email protected].
12.2 Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Extended periods of inactivity
- Requests by law enforcement or government agencies
12.3 Effect of Termination
Upon termination:
- Your right to access the Services ceases immediately
- We may delete your data in accordance with our Privacy Policy
- If we terminate your account for cause (including violation of these Terms), you will not be entitled to refunds for any prepaid fees, except where required by applicable law
- Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification
13. Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
13.2 Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in San Francisco, California, unless the parties agree otherwise.
YOU AND TRUE AND USEFUL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.3 Arbitration Opt-Out
You may opt out of the arbitration agreement by sending notice by email to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and we agree to resolve disputes exclusively in the state or federal courts located in San Francisco, California.
13.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Either party may also bring claims in small claims court if the claims qualify.
13.5 Time Limitation
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose, or it is permanently barred.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and True and Useful LLC regarding the Services and supersede all prior agreements and understandings. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
14.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
14.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or interruptions in third-party services.
